Terms and Conditions of Service

These Terms govern the access to and use of the services, platforms, and applications offered by Dinnartec. By registering, subscribing, or using the service you accept these Terms in full.
1. Acceptance
By using the service you declare that you have legal capacity to contract and you accept these Terms together with the Personal Data Processing Policy. If you do not agree with any part, please refrain from using the service.
2. Description of the service
Dinnartec provides software-as-a-service (SaaS) solutions, including management platforms, specialized modules, integrations, and AI-powered tools. The service is delivered over the internet and its features may evolve over time.
3. Accounts and registration
You are responsible for the information you provide when creating your account, for keeping it up to date, and for the confidentiality of your credentials. You are responsible for any activity carried out from your account. You must notify us immediately of any unauthorized use.
4. Subscriptions, plans, and pricing
The service is offered under monthly or annual subscription plans, with recurring charges according to the chosen plan. Prices may be expressed in USD or other currencies and applicable taxes are charged additionally when relevant.
We may modify prices and plans by giving reasonable advance notice. New prices apply to the next billing cycle, unless you cancel before they take effect.
5. Payments and billing
Payments are processed through certified external payment gateways. By activating a subscription you authorize the recurring charge of the plan amount each billing cycle, until you cancel.
If a payment cannot be processed, we may suspend access to the service until the situation is resolved. Automatic retries may be performed.
6. Cancellation
You may cancel your subscription at any time from the platform or by writing to hello@dinnartec.com. Cancellation takes effect at the end of the current billing cycle; you keep access until that date and no additional charges are generated.
Unless required by law or under a specific promotion, payments already made are non-refundable.
7. Trial periods
When we offer free trials, the specific terms and conditions communicated at the time of activation apply. If you do not cancel during the trial period, the subscription will activate automatically under the selected plan.
8. Permitted use
You agree to use the service lawfully and in accordance with these Terms. The following is not allowed:
- Using the service for unlawful, fraudulent purposes or in ways that infringe third-party rights.
- Attempting to access accounts, systems, or networks without authorization.
- Reverse-engineering, decompiling, or copying the software.
- Overloading the infrastructure, distributing malware, or bypassing security mechanisms.
- Reselling, sublicensing, or commercially exploiting the service without express authorization from Dinnartec.
9. Customer content and license
You retain ownership of the data and content you upload to the service ("Customer Content"). You grant Dinnartec a worldwide, non-exclusive, royalty-free license to host, process, transmit, and display such content as strictly necessary to provide and improve the service.
This license includes the use of Customer Content to train, fine-tune, and operate AI models and agents, in accordance with the Personal Data Processing Policy and applying aggregation or anonymization techniques when appropriate.
10. Dinnartec intellectual property
The software, brand, designs, documentation, and other elements of the service are the exclusive property of Dinnartec or its licensors. No intellectual property right is transferred other than the limited right to use the service in accordance with these Terms.
11. Third-party integrations
The service may integrate with external platforms and providers. The use of such integrations is also governed by the third party's terms. Dinnartec is not responsible for the availability, content, or changes of third-party services.
12. Availability and maintenance
We make reasonable efforts to keep the service available, but we do not guarantee uninterrupted availability. We may perform maintenance windows, updates, and improvements, aiming to minimize operational impact.
13. Support
Support is provided through official channels according to the contracted plan. Scope, response times, and conditions are defined in the documentation of the corresponding plan.
14. Suspension and termination
We may suspend or terminate access to the service in case of breach of these Terms, non-payment, security risk, or legal obligation. After termination, access to Customer Content may be limited within reasonable periods.
15. Limitation of liability
The service is provided "as is" and "as available". To the maximum extent permitted by law, Dinnartec shall not be liable for indirect damages, lost profits, or loss of data arising from the use or inability to use the service.
Dinnartec's aggregate total liability towards the customer is limited to the amount paid by the customer in the twelve (12) months preceding the event giving rise to the claim, for the affected service.
16. Indemnity
You agree to hold Dinnartec harmless against third-party claims arising from your improper use of the service or from violations of these Terms.
17. Changes to the Terms
We may update these Terms at any time. We will communicate changes through reasonable means. Continued use of the service after they take effect implies acceptance of the new version.
18. Governing law and jurisdiction
These Terms are governed by the laws of the Republic of Colombia. Disputes will be submitted to the competent courts at Dinnartec's domicile, unless otherwise required by law.
